These Terms of Service ("Terms") govern your access to and use of the WorkNow mobile application, website, and related services (collectively, the "Service"). By accessing or using WorkNow, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

1. Acceptance of Terms

By creating an account and using WorkNow, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Accept these Terms and our Privacy Policy
• Will comply with all applicable laws and regulations

2. Account Registration and Security

Account Creation

To use WorkNow, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Choose a secure password and keep it confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Roles

WorkNow supports different user roles:

• Employer: Posts traditional employment jobs
• Employee: Applies for employment opportunities
• Hirer: Posts freelance projects and contracts
• Freelancer: Submits proposals and completes freelance work

3. Using the Marketplace

For Talent and Freelancers

As a talent or freelancer, you may:

• Create a professional profile with accurate information
• Apply to jobs that match your skills and qualifications
• Submit proposals for freelance projects
• Communicate with potential employers and hirers
• Accept work agreements and deliver agreed-upon services

For Employers and Hirers

As an employer or hirer, you may:

• Post jobs and projects with accurate descriptions
• Review profiles, applications, and proposals
• Communicate with potential candidates
• Make hiring decisions and enter into agreements
• Release payments for completed work

User Conduct

You agree to use WorkNow responsibly and lawfully. You must not:

• Post false, misleading, or fraudulent information
• Harass, abuse, or discriminate against other users
• Attempt to circumvent payment systems or fees
• Share inappropriate or illegal content
• Violate intellectual property rights of others
• Use the platform for competitive solicitation
• Create multiple accounts without authorization

4. Payments and Fees

Service Fees

WorkNow charges fees for certain services:

• Platform Commission: A percentage fee on successful transactions
• Escrow Fees: Fees for secure payment holding services
• Premium Features: Fees for enhanced visibility and promotional features

All applicable fees are disclosed within the app before you commit to any transaction.

Payment Processing

• Payments are processed securely through Paystack
• Funds may be held in escrow until milestones are completed
• Employers/hirers must fund escrow before work begins
• Payments are released upon work approval and milestone completion
• Refunds are subject to our dispute resolution process

Payment Obligations

You agree to:

• Pay all fees associated with your use of the Service
• Provide accurate payment information
• Honor your financial commitments to other users
• Not charge back payments for valid services rendered

5. Escrow and Dispute Resolution

Escrow System

WorkNow uses an escrow system to protect both parties:

• Funds are held securely until work is completed
• Milestones define when payments should be released
• Both parties must agree to release funds from escrow
• WorkNow may intervene in case of disputes

Dispute Resolution

In case of disagreements:

• Users should first attempt to resolve disputes directly
• If unresolved, users may escalate to WorkNow support
• WorkNow will review evidence and make a fair determination
• WorkNow's decision on escrow release is final
• Administrative fees may apply to dispute resolution

6. Content and Intellectual Property

User Content

You retain ownership of content you submit to WorkNow, including:

• Profile information and portfolios
• Job postings and project descriptions
• Proposals and cover letters
• Messages and communications

By submitting content, you grant WorkNow a license to:

• Host and display the content on our platform
• Use the content to operate and improve our services
• Make content available to other users as necessary for marketplace function

WorkNow Content

The Service and its original content, features, and functionality are owned by WorkNow and are protected by international copyright, trademark, and other intellectual property laws.

7. Prohibited Activities

The following activities are strictly prohibited:

• Fraud: Any form of deception or fraudulent activity
• Harassment: Abusive behavior toward other users
• Discrimination: Discrimination based on race, gender, religion, or other protected characteristics
• Illegal Activities: Using the platform for illegal purposes
• System Abuse: Hacking, scraping, or overloading our systems
• Spam: Unsolicited messages or promotional content
• Off-Platform Payments: Circumventing our payment system to avoid fees

Violation of these prohibitions may result in account suspension or termination.

8. Privacy

Your use of WorkNow is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our Service, you consent to our data practices.

9. Disclaimers and Warranties

WorkNow is provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, including:

• No warranty of uninterrupted or error-free operation
• No warranty regarding the quality or suitability of talent or jobs
• No warranty regarding the accuracy of user-provided information
• No warranty that the Service will meet your requirements

10. Limitation of Liability

To the fullest extent permitted by law, WorkNow shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Disputes between users on the platform
• The quality or completion of work performed by users

11. Indemnification

You agree to indemnify and hold WorkNow harmless from any claims arising from your use of the Service, including violations of these Terms or infringement of third-party rights.

12. Account Suspension and Termination

WorkNow reserves the right to:

• Suspend or terminate accounts that violate these Terms
• Remove content that violates our policies
• Discontinue the Service with or without notice

Upon termination, your right to use the Service immediately ceases.

13. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of Nigeria. Any disputes shall be resolved in the courts of Nigeria.
